Terms and Conditions, Use Policy, Privacy Policy. Preamble The Moneeb platform is operated by Moneeb Al-Badal Limited Company, a single-member limited liability company duly incorporated under the laws of the Kingdom of Saudi Arabia and authorized to use the registered Moneeb trademark. These terms constitute the unified contractual and regulatory framework governing access to and use of the Platform, including service requests, Performer obligations, payments, settlements, privacy, tracking, documentation, content, intellectual property, liability and dispute resolution. By creating an account, submitting or paying for a Request, accepting or performing a Task, using the Platform, or electronically accepting these terms, the User agrees to be bound by them to the extent permitted by applicable law. Chapter One: Definitions Platform: The Moneeb website, applications, systems, software, interfaces and related technical and operational services. User: Any natural or legal person accessing or using the Platform. Umrah Requester: A User requesting Umrah to be performed on behalf of another person. Performer or Service Provider: An individual approved by the Platform to personally perform Umrah on behalf of another person. Beneficiary: The person on whose behalf Umrah is performed. Request: A request for performance of Umrah on behalf of a Beneficiary. Task: A Request assigned to and accepted by a Performer. Active Task: The operational period from activation of the Task until completion, cancellation, suspension or closure. Documentation: Photographs, videos, location records, timestamps, system logs and other evidence used to verify Task performance. Exclusive Documentation: Documentation captured directly through designated functions within the application rather than uploaded from the device library where required. Tracking: Processing of location, time, route, movement and related technical data for Task monitoring and verification. Settlement: Procedures for determining and transferring amounts due to a Performer after verification. Personal Data: Any information identifying or capable of identifying an individual under Saudi Personal Data Protection Law. Content: Any text, image, video, audio, document, rating, endorsement or other material submitted to or generated through the Platform. Chapter Two: Nature of the Platform and Parties The Platform organizes and facilitates requests for Umrah on behalf of others, connects Requesters with approved Performers and provides technical, operational, payment, tracking, documentation and verification functions. The Platform does not itself perform Umrah. The Performer remains personally responsible for performing the rites. No employment, partnership, agency or representation relationship arises between the Platform and a Performer unless expressly agreed in writing. Chapter Three: Religious Nature of the Service The Platform is not a fatwa authority or official religious reference, and its content does not constitute a binding religious ruling. The Requester is responsible for the accuracy of the Beneficiary's information and for determining the appropriateness of requesting Umrah on the Beneficiary's behalf. The Performer is responsible for being qualified to perform the rites and for complying with applicable religious, regulatory and operational requirements. The Platform does not guarantee religious acceptance, reward or spiritual outcome. Chapter Four: Governing Law and International Use These terms and all relationships arising from use of the Platform are governed by the laws and regulations of the Kingdom of Saudi Arabia, regardless of the User's nationality, residence, location, currency or payment method, subject to mandatory provisions of applicable law. Chapter Five: Electronic Acceptance and Records Electronic acceptance, account activity, Requests, payments, Task acceptance and use of the Platform may constitute legally effective acceptance. The Platform may retain electronic records including account identity, timestamps, device information, IP address, acceptance records, communications and activity logs and may use such records as evidence to the extent permitted by law. Separate consent may be obtained where required for a particular Personal Data processing purpose. Chapter Six: Eligibility and Accounts Users must have the legal capacity required for their activities on the Platform. Information provided must be accurate, complete and current. Impersonation, false documents and misleading information are prohibited. Users are responsible for maintaining the confidentiality and security of their accounts. Chapter Seven: Performer Approval Submitting a Performer application does not create a right to approval. The Platform may review, verify, accept, reject, suspend or reassess applicants based on identity, eligibility, experience, declarations, documents, endorsements, previous performance and other reasonable criteria. Endorsements are evaluation factors only and do not constitute guarantees by the Platform. Chapter Eight: Performer Name, Image and Profile Information Upon approval and completion of any required consent, the Performer authorizes use of his or her name, image, profile, biography, city, experience, ratings, endorsements, completed Tasks and related professional information for operating the service and presenting the Performer to Users. Where the appropriate lawful basis or consent exists, such information may also be used in institutional, informational, educational, media, marketing, advertising, public relations, social media, digital, printed and audiovisual materials inside and outside Saudi Arabia. Images and materials may be resized, cropped, branded, translated or otherwise technically edited, provided they are not used unlawfully or misleadingly. Consent records may be retained as evidence of the scope, date and method of acceptance. Chapter Nine: Performer Information and Responsibility The Performer confirms that all submitted information and documents are accurate and must notify the Platform of material changes. The Platform may require renewed verification and may suspend Tasks or settlements pending verification. The Performer bears responsibility for false, forged, incomplete or misleading information. Chapter Ten: Performer Independence and Personal Risk The Performer acts as an independent Service Provider and is responsible for personal conduct, transport, safety, compliance and performance. Unless liability is imposed on the Platform by mandatory law, the Platform is not responsible for the Performer's personal expenses, traffic violations, fines, accidents, injuries, illness, lost property or similar personal risks. Chapter Eleven: Personal Performance of Tasks A Task accepted by a Performer must be performed personally by that Performer. A Task may not be transferred, delegated, sold or performed by another person through the Performer's account unless expressly authorized by the Platform. Chapter Twelve: Task Stages and Documentation The Platform may require Documentation at specified stages, including Miqat, Ihram and Talbiyah, Tawaf, Sa'i and Tahallul. The application may require the Performer to document Talbiyah for the Beneficiary at the designated Miqat and to provide Documentation at other prescribed stages. Instructions displayed within a Task form part of these terms. Chapter Thirteen: Exclusive Documentation The Platform may require Documentation of rites to be captured exclusively through its in-application camera or recording tools and may reject files uploaded from the device gallery where direct capture is required. This is intended to associate Documentation with the relevant Performer, Task, location, time and system records. Gallery or file access may remain available for documents or other non-ritual purposes. Chapter Fourteen: Integrity of Documentation Documentation must be genuine, original and related to the relevant Task. Fabricated, altered, reused, manipulated, artificially generated or misleading Documentation is prohibited and constitutes a material breach. Chapter Fifteen: Use of Ritual Documentation The Performer, Requester and User acknowledge that photographs and videos generated during Task performance form part of the Platform's verification and governance system. The Platform may store, process and use Documentation to monitor the Task, verify identity, location, timing and performance, issue and verify completion certificates, prevent fraud, manage disputes, protect rights and comply with legal obligations. Documentation may be linked to the Request, Performer, Beneficiary, Task records and completion certificate. Immediate deletion may be refused where retention remains necessary for lawful operational, evidentiary, fraud-prevention or dispute purposes. Chapter Sixteen: Media and Marketing Use of Documentation Where the required lawful basis or consent has been obtained, the Platform may use all or part of ritual Documentation for institutional, informational, educational, media, marketing, advertising or public relations purposes inside or outside Saudi Arabia. Such material may be edited, cropped, translated, branded, blurred or converted into still images, provided the substance of the event is not materially misrepresented. The Performer expressly acknowledges that his or her name, image, voice or likeness may appear in such material. Information relating to the Beneficiary may be redacted, abbreviated or blurred where public disclosure is unnecessary. Chapter Seventeen: Incidental Persons Persons may appear incidentally in recordings made in public or crowded locations. Incidental appearance does not authorize use of that person's identity as a separate advertising subject. The Platform may crop, blur or otherwise limit visibility of unrelated persons when appropriate. Chapter Eighteen: Location and Tracking Location tracking is an integral part of Task governance. During an Active Task, the Platform may process precise location, successive location updates, timestamps, routes, movements and related technical data to verify presence, monitor performance, link Documentation to location and detect fraud, impersonation or manipulation. Chapter Nineteen: Background Location The application may require background location access during an Active Task in accordance with device permissions. Such access is intended for Task monitoring and is not intended to create continuous monitoring outside the Task. Historical location records may be retained where necessary for lawful evidentiary, compliance, fraud-prevention or dispute purposes. Chapter Twenty: Geofencing The Platform may establish electronic geofences around Miqat locations, the Grand Mosque, Sa'i areas or other relevant locations. A Task stage may be rejected or subjected to additional verification if location records indicate that the Performer is outside the required area. Location alone does not constitute conclusive evidence of performance. Chapter Twenty-One: Temporal and Geographic Verification The Platform may compare timestamps, locations, routes, Task status and Documentation to verify the logical sequence of performance. Material inconsistencies may result in suspension, rejection or manual review. Chapter Twenty-Two: Technology Limitations Tracking, GPS, internet connectivity, device functions, video uploads, networks and external systems may be affected by technical failures or limitations. No technical system is infallible, and the Platform may assess the totality of available records rather than relying on a single technical indicator. Chapter Twenty-Three: Delays and Field Conditions Performance may be affected by illness, injury, congestion, traffic, security procedures, governmental instructions, access restrictions, transport problems, telecommunications failures or similar circumstances. The Platform may delay, reschedule or reassign a Task where reasonably necessary. Chapter Twenty-Four: Requester and Beneficiary Information The Requester is responsible for the accuracy of information provided about the Requester and Beneficiary and for having a lawful basis to provide Personal Data relating to the Beneficiary. Chapter Twenty-Five: Performer Assignment The Platform may allow the Requester to select a Performer or may assign one according to its operational criteria. A Task may be reassigned where the original Performer is unavailable, ineligible or unable to complete the Task, or where operational, technical, health or regulatory circumstances reasonably require reassignment. Chapter Twenty-Six: Payments Payments may be processed through approved banks, financial institutions or payment service providers. The Platform may receive the Request amount and subsequently process Performer entitlements in accordance with its settlement procedures. Nothing in these terms shall be interpreted as representing that the Platform independently provides regulated payment, electronic money or remittance services unless lawfully authorized to do so. Chapter Twenty-Seven: Payment Processing Times Processing times may vary according to country, currency, payment method, bank, provider, verification requirements, compliance procedures, international transfers, public holidays and other banking or regulatory factors. The Platform is not responsible for delays caused by independent financial institutions or providers outside its reasonable control. Chapter Twenty-Eight: Performer Settlements Performer payment is subject to successful completion, verification, Documentation and the absence of a hold, dispute or compliance concern. Settlement may begin from approximately two weeks and may extend up to ninety (90) days depending on the circumstances. This period does not constitute a guarantee of payment on a specific date. Chapter Twenty-Nine: Settlement Holds Settlement may be suspended or delayed where a Task is under review, fraud is suspected, performance cannot be verified, information is incomplete or a banking, compliance, regulatory or technical restriction exists. Chapter Thirty: Financial Beneficiary Verification Financial beneficiary details must correspond with the approved Performer's identity. Transfers may be refused or delayed where the beneficiary name materially differs from the Performer's legal name or cannot be satisfactorily verified. Chapter Thirty-One: Prices and Fees The Platform determines prices, fees and commissions according to its commercial and operational model. Amounts may vary by country, currency, service, promotion, payment method, operational cost, tax or applicable charge. Chapter Thirty-Two: Cancellation and Refunds Processing, assignment, verification and payment procedures may commence immediately after a Request is submitted. Once processing or performance has commenced, the Request amount is generally not refundable solely because the Requester changes his or her mind or personal circumstances. This shall not limit any non-waivable right available under applicable Saudi law. Chapter Thirty-Three: Performer Failure and Replacement Where the Platform determines that a Performer failed to complete the Task as required, the primary operational remedy, where reasonably possible, shall be reassignment to another Performer and performance of a replacement Umrah without charging the Requester for a new Umrah. Chapter Thirty-Four: No Double Recovery Where the relevant failure has been remedied through a replacement Umrah or another remedy satisfying the applicable entitlement, no additional compensation shall be payable for the same matter unless required by applicable law. Chapter Thirty-Five: Limitation of Liability The Platform shall exercise reasonable care in operating its services, reviewing Performers and maintaining verification and Documentation systems. It does not guarantee uninterrupted or error-free operation of the Platform, internet, third-party systems or User devices. To the extent permitted by law, the Platform shall not be liable for indirect, consequential or speculative losses, lost profits or lost opportunities not directly caused by an established breach attributable to it. Chapter Thirty-Six: Performer Conduct The Platform shall not be responsible for unlawful acts, offences, fraud, negligence, impersonation or misconduct personally committed by a Performer outside its reasonable control. Chapter Thirty-Seven: Responsibility for Violations To the extent permitted by law, a User or Performer shall be responsible for direct losses, claims and reasonable expenses incurred by the Platform as a result of that person's unlawful act, fraud, forged information, impersonation, manipulation or material breach of these terms. Chapter Thirty-Eight: Prohibited Conduct Users may not engage in fraud, impersonation, hacking, unauthorized data collection, circumvention of security controls or manipulation of accounts, locations, Documentation, payments, ratings or endorsements. Chapter Thirty-Nine: Platform Circumvention Users and Performers may not use relationships or information obtained through the Platform to bypass it for the purpose of avoiding fees, governance, Documentation, settlement procedures or other Platform controls. Chapter Forty: Name, Trademark and Reputation No person may falsely claim authorization, employment, representation, partnership or affiliation with the Platform. Unlawful defamation, threats, extortion, harassment or intentional publication of false or misleading information concerning the Platform, its Users, employees or Service Providers is prohibited. The Platform may take lawful action to protect its rights, reputation and trademark. Chapter Forty-One: Confidentiality Performers must protect non-public operational, technical, commercial and User information obtained through the Platform. Confidentiality obligations survive account termination where the information remains confidential by nature. Chapter Forty-Two: Intellectual Property and Content License Rights in the Platform, software, interfaces, designs, systems, databases and proprietary materials belong to their respective rights holders. Users retain rights they lawfully own in Content they submit but grant the Platform the rights reasonably necessary to host, store, copy, process, display and use such Content for service operation, verification, legal compliance and protection of rights. Marketing or media use of identifiable Personal Data remains subject to the applicable lawful basis and consents. Chapter Forty-Three: Ratings and Endorsements Ratings and endorsements must be genuine and based on actual knowledge or experience. The Platform may review or remove misleading, manipulated, unlawful or policy-violating content. Chapter Forty-Four: Privacy Framework Personal Data is processed in accordance with the Saudi Personal Data Protection Law, its Implementing Regulations and applicable rules governing transfers of Personal Data outside Saudi Arabia. The Platform acts as controller where it determines the purposes and means of processing and may appoint processors or External Service Providers where necessary. Chapter Forty-Five: Categories and Sources of Personal Data Depending on the service used, Personal Data may include identity and contact information, photographs, profile information, documents, age, gender, city, verification records, endorsements, Request and Beneficiary information, payment and settlement information, location, videos, device details, IP addresses, application and session identifiers, login records, usage data, error and security logs and Task records. Data may be obtained directly from the User, from the Requester in relation to a Beneficiary, automatically through use of the Platform, or from lawful technical, verification and payment providers. Chapter Forty-Six: Purposes and Legal Bases of Processing Data may be processed for account administration, identity and eligibility verification, Performer approval, Request and Task administration, payments and settlements, tracking, Documentation, security, fraud prevention, support, dispute management, compliance, service improvement and development. Processing shall rely on the lawful basis appropriate to the relevant purpose, including contractual necessity, legal obligation, consent, legitimate interest where permitted or another basis recognized by applicable law. Chapter Forty-Seven: Separate Consents General acceptance of these terms does not constitute unrestricted consent to all Personal Data processing. Separate electronic consent may be obtained where legally required, including for public display of Performer profiles, marketing use of names and images, media or advertising use of Content, and marketing use of selected ritual Documentation. Consent records may include identity, time, method, wording and purpose. Chapter Forty-Eight: Withdrawal of Consent Withdrawal of consent does not affect the lawfulness of processing completed before withdrawal. Processing may continue where another lawful basis requires or permits it. Materials lawfully published and independently republished by third parties may fall outside the Platform's direct technical control. Chapter Forty-Nine: Device Permissions The application may request access to location, camera, notifications and limited device files or media where required for a legitimate function. Granting a permission does not authorize unrestricted access to all device content. Chapter Fifty: Data Sharing and External Providers The minimum data reasonably necessary may be shared between service parties and with providers of payment, hosting, cloud infrastructure, mapping, location services, notifications, identity verification, cybersecurity, analytics and support. Use of an External Service Provider does not by itself constitute a sale of Personal Data. Chapter Fifty-One: Legal Disclosure and International Transfers Data may be disclosed where required or permitted by applicable law or a binding request from a competent authority. Where Personal Data must be transferred or accessed outside Saudi Arabia, the Platform shall apply the requirements and safeguards prescribed by applicable Saudi data protection rules. Chapter Fifty-Two: Data Retention Data, Documentation and Task records may be retained for as long as reasonably necessary for service provision, verification, accounting, legal obligations, fraud prevention, certificate validation, dispute management and protection of rights. Data shall be deleted, destroyed, anonymized or otherwise handled appropriately once the lawful need for retention expires. Chapter Fifty-Three: Data Security The Platform shall implement reasonable technical, organizational and administrative safeguards appropriate to the nature of the Personal Data and relevant risks. No system can guarantee absolute security against all incidents. Chapter Fifty-Four: Data Subject Rights and Account Deletion Data subject requests shall be handled in accordance with applicable Saudi data protection law. Account deletion does not necessarily require immediate destruction of records that the Platform must or may lawfully retain for legal, accounting, evidentiary, fraud-prevention or dispute purposes. Chapter Fifty-Five: Minors and Health Information Users conducting transactions or registering as Performers must possess the required legal capacity. Limited information concerning a minor may be processed where the minor is a Beneficiary and such processing is lawful and necessary. Users should not provide health information beyond what is reasonably necessary for the service. Chapter Fifty-Six: Cookies and Similar Technologies Cookies and similar technologies may be used for operation, security, session management, settings, performance and analytics in accordance with applicable requirements. Chapter Fifty-Seven: Communications and Marketing Operational communications relating to accounts, Requests, security and services may be sent as part of providing the service. Marketing communications requiring consent shall be subject to applicable consent and regulatory requirements. The Platform does not sell identity, location or Documentation data as advertising data. Chapter Fifty-Eight: Service Development and Availability The Platform may add, modify, suspend or discontinue functions, interfaces or operational procedures where reasonably necessary for development, quality, security, compliance or operational requirements. Temporary interruptions may occur because of maintenance, updates, network failures or third-party service interruptions. Chapter Fifty-Nine: Suspension and Termination Accounts may be suspended, restricted or terminated for breach, fraud, manipulation, security concerns or material regulatory or operational risk. Termination does not prevent completion of investigations, settlements, claims, dispute procedures or necessary record retention. Chapter Sixty: Operational Decisions The Platform may accept or reject Documentation, reassign Tasks, suspend Tasks, require renewed verification or hold settlements based on available records. Decisions may be reconsidered where material new information becomes available. Chapter Sixty-One: Force Majeure The Platform shall not be liable for delay or failure caused by events outside its reasonable control, including natural disasters, epidemics, governmental actions, security restrictions, closures, banking failures, telecommunications failures or infrastructure disruptions. The Platform may reschedule, suspend or reassign a Task as reasonably appropriate. Chapter Sixty-Two: Notices Notices may be delivered through the application, email, SMS, push notifications or other registered communication methods. Users are responsible for maintaining current contact information. Chapter Sixty-Three: Initial Dispute Procedure Disputes relating to a Request, transaction, account, Task or settlement must first be submitted in writing through the Platform's approved communication channel with sufficient details and supporting information. The Platform shall have thirty (30) days from receipt of a complete notice to review and attempt to resolve the dispute before arbitration, unless mandatory law requires otherwise. Chapter Sixty-Four: Arbitration Any dispute, controversy or claim capable of lawful settlement by arbitration and arising out of or relating to these terms, use of the Platform, a Request, Task, payment, settlement, interpretation, performance or termination shall be finally resolved by arbitration in accordance with the Arbitration Law of the Kingdom of Saudi Arabia. The seat of arbitration shall be Makkah, Kingdom of Saudi Arabia. The language of arbitration shall be Arabic. Saudi law shall govern the substance of the dispute. The dispute may be decided by one arbitrator unless the applicable rules or an agreement between the parties requires otherwise. The arbitral award shall be final and binding. Electronic acceptance of these terms shall constitute written electronic acceptance of the arbitration agreement to the extent recognized under Saudi law. Chapter Sixty-Five: Confidentiality of Disputes Non-public information and documents relating to a dispute or arbitration shall remain confidential except where disclosure is necessary for the proceedings, enforcement of an award or compliance with applicable law. Chapter Sixty-Six: No Waiver and Severability Failure or delay in exercising a right does not constitute waiver of that right. If any provision is invalid or unenforceable, the remaining provisions shall continue in effect to the fullest extent permitted by law. Chapter Sixty-Seven: Entire Agreement These terms, together with service-specific instructions, controls and requirements displayed within the Platform, constitute the general framework governing the relationship between the User and the Platform. Chapter Sixty-Eight: Amendments and Periodic Review The Platform may amend these terms and related policies to reflect service development, operational changes, legal requirements, security requirements or compliance obligations. Users are responsible for periodically reviewing the applicable terms, policies, instructions and notices and familiarizing themselves with updates. The version in force at the time of use shall apply to subsequent use and transactions, subject to existing obligations and mandatory law. The Platform may provide notice of material amendments through available communication channels and may obtain renewed consent where legally required. Continued use after an amendment takes effect constitutes acceptance where continued use is legally sufficient for that purpose. Chapter Sixty-Nine: Final Acknowledgement By using the Platform, the User acknowledges the nature of the service, the status and responsibilities of the parties and the provisions of these terms. The Requester is responsible for Request and Beneficiary information. The Performer is responsible for eligibility, accuracy of information, personal performance of Tasks and compliance with tracking, Documentation and operational requirements. The Performer acknowledges that approved profile information, name, image and performance information may be used as described in these terms. The Performer, Requester and User acknowledge that ritual photographs and videos form part of the Task records and may be stored and processed for verification, certification, dispute management, fraud prevention and protection of rights. Where the appropriate lawful basis or consent exists, Performer names, images, voices and Documentation may also be used for institutional, media, marketing, advertising and related purposes. Users acknowledge the technical limitations of tracking, Documentation and other digital systems. Performers acknowledge responsibility for their personal movements, fines, violations, accidents and safety except where applicable law imposes responsibility on the Platform. Users acknowledge that settlements may take from approximately two weeks up to ninety days depending on applicable circumstances. The Requester acknowledges that once processing has commenced, the Request is generally not refundable solely because of a change in preference and that replacement Umrah may constitute the primary remedy for an established Performer failure, subject to mandatory law. Users are responsible for periodically reviewing the Platform's terms and policies. These terms and the relationship with the Platform are governed by the laws of the Kingdom of Saudi Arabia, and arbitrable disputes shall be resolved through arbitration seated in Makkah as provided above. Where these terms are made available in Arabic and English or any other language, the Arabic version shall be the original, authoritative and legally controlling version. Any translation is provided solely for convenience, and in the event of any inconsistency, ambiguity or conflict, the Arabic version shall prevail to the fullest extent permitted by applicable law.
